Beginning on January 1, 2024, many companies in the United States will have to report information about their beneficial owners (BOI). They must report the individuals who ultimately own or control the company to the Financial Crimes Enforcement Network (FinCEN).
FinCEN is a bureau of the U.S. Department of the Treasury. According to the BOI Small Compliance guide, Any company that fails to file a required beneficial ownership report or amendment by its filing deadline is subject to a fine of $500 per day, up to a maximum of $10,000. Willful failures or intentionally filing inaccurate information is a felony, punishable by up to two years in prison.

The Corporate Transparency Act (CTA) was passed by the U.S. Congress in 2021, and the Beneficial Ownership Information (BOI) regulation aims to create a comprehensive beneficial ownership registry for U.S. legal entities. FinCEN has recently finalized regulations, providing clarity on who needs to file, what information is required, and when the filing must occur.
Information will be presented by by Bill Quick, attorney and Corporate Transparency Act Chair at Polsinelli. Bill’s general counsel practice focuses on managing the corporate portfolios of business enterprises, handling an array of corporate, finance, transactional and related legal need.
